LYMCEE – TERMS AND CONDITIONS

1. Introduction and Acceptance
These Terms and Conditions govern access to Lymcee and its related services (“we”, “us” and “our”). “Customer” means the individual or organisation subscribing to the service. By accepting these terms electronically or accepting an order that incorporates them, you agree to these terms and the applicable service agreement. You must be legally competent to contract and authorised to act for your organisation.

2. Trial, Plans and Features
The free trial is available for seven days only, beginning when trial access is activated. Continued use after the trial requires an active paid subscription. Trial participation alone does not authorise a charge or paid renewal.
Available annual subscription plans and their current prices are listed at https://lymcee.com and disclosed before purchase.
The subscription start and expiry dates will be stated in the activation confirmation. Applicable taxes and additional charges, if any, will be disclosed before purchase.
See https://lymcee.com for features and plan information. Available functionality depends on the selected plan. The features and limits disclosed and accepted at purchase govern that subscription; later website changes do not automatically alter an accepted agreement.
Customisation, migration, training, additional storage and third-party integrations are included only where expressly agreed.

3. Payment and Renewal
Payments must follow the accepted order or agreement. Recurring billing or automatic renewal applies only where disclosed and authorised. Renewal prices and terms must be disclosed before renewal. Additional chargeable work requires customer agreement.
Overdue undisputed payments may result in suspension after written notice and a reasonable opportunity to resolve the issue, subject to applicable law.

4. Account Security and Customer Responsibilities
Customers must provide accurate information, protect credentials, manage user permissions and promptly report suspected unauthorised access. Customers are responsible for authorised user activities, the accuracy and lawful collection of uploaded data, permissions for communications and review of reports and automated outputs.
Customers must not introduce malware, bypass security or usage limits, access information without authorisation, use the service unlawfully, or resell or sublicense it without permission. Reverse engineering is prohibited except where law permits it.

5. Customer Data, Confidentiality and Privacy
Customers retain their rights in uploaded data and grant permission to process it as necessary to provide the agreed service. Personal information is handled under the separate Lymcee Privacy Policy and applicable data-processing arrangements.
Each party must protect confidential information and use it only for the agreed purpose, except for lawful disclosures or information already lawfully public, independently developed or obtained without restriction.

6. Storage and Backups
Storage limits, retention periods, backup frequency and restoration commitments must be specified in the applicable agreement. Backup and disaster-recovery services are included only where expressly agreed.
Customers must maintain independent copies of important records and files using available download or export facilities. Additional storage may carry agreed charges. Recovery of every lost or corrupted record cannot be guaranteed. These provisions do not remove any backup or security obligation expressly undertaken by Lymcee .

7. Availability, Server Failures and Data Loss
Uninterrupted or error-free service is not guaranteed. Hosting outages, global or regional server disruptions, internet failures, hardware failures and software crashes may affect availability or data.
To the extent permitted by law, Lymcee is not liable for downtime, data loss or corruption caused by events outside its reasonable control. This exclusion does not apply to the extent its breach of an agreed obligation contributed to the loss. Any liability that may lawfully be limited remains subject to Section 11.

8. Third-Party Services and AI
Third-party services may require separate accounts, fees and permissions. Their outages, restrictions or changes may affect integrations. Material impacts on the agreed service will be discussed with the customer.
Where AI or automated features are included, customers must review outputs before relying on them. External communications or system changes must remain within the agreed permissions. Do not submit information without the necessary rights and authority.

9. Support, Implementation and Intellectual Property
Support hours, response commitments, implementation scope, acceptance procedures and maintenance are governed by the accepted agreement. New features or changes to approved requirements may be chargeable additional work.
A subscription grants the agreed right to use Lymcee ; it does not transfer software ownership or source code. Custom developments and third-party components remain subject to their agreed ownership and licence terms. Public use of the other party’s logo or confidential materials requires permission.

10. Cancellation, Expiry and Data Export
Payments are non-refundable except where a refund or payment correction is required by applicable law, as detailed in the separate Cancellation & Refund Policy.
Cancellation does not create a right to a refund for unused subscription time. Either party may terminate for a material breach remaining unresolved after written notice and a reasonable opportunity to remedy it. Immediate suspension may be necessary for unlawful activity or a serious security risk.
Customers should arrange data exports before access ends. Export formats, assistance charges, post-closure retention and deletion arrangements must be disclosed in the applicable agreement. Accrued obligations survive termination.

11. Service Standards and Liability Limits
Lymcee will perform agreed services with reasonable care and skill. It does not guarantee specific sales, revenue, profit or other business outcomes.
To the extent permitted by law, Lymcee is not liable for losses caused by incorrect customer data, misuse, credential sharing or third-party failures outside its reasonable control, except to the extent its own breach contributed to the loss.
To the extent permitted by law, liability for indirect or consequential losses, including lost profit, opportunities or anticipated savings, is excluded.
Subject to the exceptions below, total aggregate liability for the affected service is capped at the fees actually paid for that service in the twelve months immediately preceding the event giving rise to the claim.
Nothing excludes or limits liability for fraud, wilful misconduct, or any liability, statutory right or remedy that cannot lawfully be excluded or limited.

12. Governing Law and General Provisions
These terms are governed by Indian law. Parties should first attempt resolution through discussion. Subject to applicable law, disputes may be brought before competent courts in Mumbai, Maharashtra, without restricting statutory or consumer forums where available.
Events beyond reasonable control excuse performance only to the extent prevented; the affected party must notify the other and take reasonable steps to reduce the impact.
Updates will not retrospectively alter accepted agreements. Material changes to ongoing services will be communicated and accepted where required. If a provision is unenforceable, remaining provisions continue where legally permitted.

By accepting this policy, you agree in advance to future updates, modifications and enhancements to Lymcee’s features, functionality and policies, to the extent permitted by applicable law. Lymcee may implement such changes without seeking your approval or consent, or sending an individual notification for each update. Updated policies will be published on the relevant policy pages at https://lymcee.com with a revised date, and you are responsible for reviewing those pages periodically. This authorisation does not permit retrospective changes to an accepted agreement or remove any obligation imposed by applicable law.
